A promoter pledge is not unusual in Indian companies. It becomes a risk when the pledged stake is large, when the loan it secures is to the promoter rather than the company, or when release of the pledge depends on the IPO itself.
Where to find it
- Capital Structure: shareholding pattern tables show shares pledged or otherwise encumbered, by category.
- Our Promoters and Promoter Group: details of each promoter's holding.
- Risk Factors: a specific risk factor if the pledge is material.
- Financial Indebtedness: whether company loans are secured by promoter shares.
Questions to ask
- What percentage of the promoter's holding is pledged, before and after the issue?
- Is the pledge for a company borrowing or for the promoter's personal or group borrowing?
- Will the pledge be released before listing, and is release funded from issue proceeds or an OFS?
- Is any part of the minimum promoter contribution affected by the pledge?
- What happens to the pledge after lock-in ends?
Why it matters after listing
Listed companies must disclose creation, invocation and release of promoter pledges under the SEBI Substantial Acquisition of Shares and Takeovers Regulations, and the shareholding pattern filed with the exchanges every quarter shows encumbered shares. A pledge that grows after listing, especially during a fall in the share price, can lead to forced selling. That is why diligence teams treat a material pre-IPO pledge as something to explain, not ignore.
DRHP Lens extracts the pledged percentage and cites the page so you can read the terms. See the full DRHP red flags checklist.

What does promoter pledge mean?
A promoter pledge means the promoter has offered their shares in the company as security for a loan. If the loan is not repaid, the lender can enforce the pledge and sell the shares.
Where is promoter pledge disclosed in a DRHP?
In the Capital Structure section, usually in the shareholding tables and notes on encumbrances, and often in Risk Factors and in the section on Our Promoters and Promoter Group.
Can pledged shares be locked in for an IPO?
The minimum promoter contribution must be locked in and cannot be pledged except in limited cases permitted under the ICDR Regulations, so pledges are typically released before the issue. Check the DRHP for how and when.
This guide is general education about how Indian offer documents are structured. It is not investment advice or a recommendation to subscribe to any issue. Regulations change; always read the current offer document and the SEBI regulations it refers to, and consult a SEBI-registered investment adviser before you invest.
